1. Acceptance of Terms
1.1. These Terms of Service and End-User License Agreement ("Terms") constitute a legally binding agreement between you (an individual or entity, "User", "you", or "your") and Anton Sergachev ("Developer", "we", "us", or "our"), governing your access to and use of the Slysh! website (the "Website") and the Slysh! desktop software for Windows (the "Software").
1.2. By accessing the Website, downloading, installing, or executing the Software, you represent that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, do not install, copy, or use the Software.
2. Software License & Permitted Use
2.1. License Grant: Subject to these Terms, the Developer grants you a worldwide, non-exclusive, revocable, royalty-free, non-transferable license to install, execute, and use the Software on your personal or commercial computers running compatible Windows operating systems.
2.2. Free & Permissive Distribution: The Software is provided free of charge for personal, academic, and business speech transcription tasks. You may transcribe meetings, interviews, podcasts, lectures, and media files without per-minute fees or arbitrary artificial restrictions.
2.3. Restrictions: You agree not to: (a) reverse-engineer, decompile, or disassemble any binary components of the Software except to the extent permitted by mandatory statutory law; (b) redistribute malicious or unauthorized cracked variants of the Software; (c) remove, alter, or obscure any copyright notices, trademark indicators, or proprietary badges.
3. Artificial Intelligence Disclaimer & Non-Reliance
3.1. Probabilistic Nature of AI Models: You expressly acknowledge that the Software relies on artificial intelligence, deep neural networks, and acoustic language models (including GigaAM, OpenAI Whisper architectures, and NVIDIA NeMo Sortformer diarization). The outputs generated by machine learning models are fundamentally probabilistic and may contain acoustic recognition errors, omissions, misheard phonemes, fabricated phrases ("hallucinations"), incorrect punctuation, distorted timestamps, or speaker misattributions.
3.2. Mandatory Human Verification: YOU AGREE THAT ALL GENERATED TRANSCRIPTS, SUMMARIES, AND SPEAKER LABELS MUST BE INDEPENDENTLY REVIEWED AND VERIFIED BY A COMPETENT HUMAN BEFORE BEING RELIED UPON FOR ANY OPERATIONAL, LEGAL, MEDICAL, OR COMMERCIAL PURPOSE.
3.3. Prohibition on High-Risk Use: THE SOFTWARE IS NOT FAULT-TOLERANT AND IS NOT INTENDED OR LICENSED FOR USE IN HAZARDOUS OR SAFETY-CRITICAL ENVIRONMENTS REQUIRING FAIL-SAFE CONTROLS. YOU SHALL NOT USE THE SOFTWARE FOR EMERGENCY SERVICES (911/112), MEDICAL DIAGNOSIS, SURGICAL RECORDS, MILITARY OPERATIONS, AIR TRAFFIC CONTROL, OR COURTROOM TESTIMONY WHERE AN ACCURACY FAILURE COULD LEAD TO DEATH, PERSONAL INJURY, SEVERE PROPERTY DAMAGE, OR WRONGFUL INCARCERATION.
4. Hardware Load, Thermal Strain & Stability
4.1. High Computational Intensity: Local neural network execution, FP16/INT8 matrix multiplication, and CUDA GPU acceleration generate substantial processing loads. Executing inference on long audio files may drive graphics cards (GPU) and processors (CPU) to sustained 100% capacity.
4.2. User Assumption of Hardware Risk: You assume full, sole responsibility for monitoring your system hardware, ensuring adequate cooling, thermal dissipation, dust clearance, voltage stability, and battery capacity. THE DEVELOPER SHALL NOT BE LIABLE FOR ANY HARDWARE COMPONENT DEGRADATION, THERMAL THROTTLING, SYSTEM CRASHES, POWER SUPPLY FAULTS, OR PERMANENT HARDWARE DAMAGE RESULTING FROM HIGH-LOAD INFERENCE.
4.3. Data Backup: The Developer is not responsible for data loss, corrupted project files, or unrecorded meetings. You are solely responsible for maintaining redundant backups of all audio recordings and transcription texts.
5. Third-Party Services & BYOK Architecture
5.1. Direct Provider Relationships: If you choose to enable cloud transcription features by supplying your own API keys for third-party services (such as Groq, Gladia, OpenAI, Deepgram, or OpenRouter), you enter into a direct contractual relationship with those independent vendors.
5.2. No Developer Liability for Third Parties: The Developer does not guarantee the availability, latency, accuracy, or pricing models of third-party cloud APIs. You are solely liable for any expenses, quota consumption, per-minute charges, or account suspensions incurred with third-party providers.
6. Intellectual Property
6.1. Developer Ownership: All rights, titles, and interests in the Slysh! Software, Website layout, branding, logos, graphics, and original codebase are owned exclusively by Anton Sergachev or licensed from appropriate open-source contributors.
6.2. User Data Ownership: The Developer asserts NO copyright, ownership, or licensing claim over your audio recordings, transcripts, videos, or project notes created using the Software. All your personal data and intellectual property remain 100% yours.
7. "AS IS" Warranty Disclaimer
7.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND WEBSITE ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS, DEFECTS, AND WITHOUT WARRANTY OF ANY KIND.
7.2. THE DEVELOPER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, UNINTERRUPTED OPERATION, SYSTEM INTEGRATION, OR NON-INFRINGEMENT.
7.3. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE WITH EVERY COMBINATION OF HARDWARE OR OPERATING SYSTEM DRIVERS, OR RUN WITHOUT TEMPORARY INTERRUPTION OR CODING ERRORS.
8. Limitation of Liability
8.1. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, CORRUPTION OF AUDIO FILES, WORK STOPPAGE, COMPUTER FAILURE, OR REPLACEMENT HARDWARE COSTS, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE DEVELOPER’S AGGREGATE CUMULATIVE LIABILITY UNDER THESE TERMS SHALL BE LIMITED TO THE TOTAL AMOUNT PAID BY YOU TO THE DEVELOPER FOR THE SOFTWARE DURING THE PRIOR TWELVE (12) MONTHS, OR FIFTY UNITED STATES DOLLARS ($50.00 USD), WHICHEVER IS LESS.
9. Indemnification
9.1. You agree to defend, indemnify, and hold harmless the Developer from and against any third-party claims, liabilities, damages, losses, or legal expenses (including reasonable attorney fees) arising from: (a) your violation of these Terms; (b) your recording of individuals without required legal consent under applicable wiretapping or privacy laws; or (c) your misuse of generated transcription outputs in breach of third-party rights.
10. Modifications & Updates
10.1. We reserve the right to revise or update these Terms at our sole discretion. Any modified Terms will be posted to the Website with an updated "Effective Date".
10.2. Your continued use of the Software or Website following any update constitutes your agreement to the revised Terms.
11. Governing Law & Dispute Resolution
11.1. Governing Law: These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the Developer’s jurisdiction of domicile, without regard to choice of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly disclaimed.
11.2. Pre-Trial Informal Resolution: Before initiating formal proceedings, you agree to contact the Developer at kotdesignstudio@gmail.com to attempt good-faith informal resolution. The parties shall allow thirty (30) calendar days to resolve the matter amicably.
11.3. Jurisdiction: Any unresolved dispute shall be submitted to the competent courts of the Developer's permanent domicile.
